Red Dot Media Terms of Service
1. Agreement Between Red Dot Media Limited and User
This Terms of Use (the “Agreement”) establishes a legally binding agreement between Red Dot Media Limited, a company organised under the laws of the United Kingdom ("Red Dot Media"), and the User ("User"). Failure to accept and adhere to all terms, conditions, and obligations herein results in the explicit prohibition of the User’s use of the services ("Services"), with an immediate requirement for discontinuation. The relationship between User and Red Dot Media shall cease, except for any obligation of User to pay Red Dot Media for services rendered, which shall remain an ongoing obligation.
2. Intellectual Property Rights
All content on the Red Dot Media website, including software, designs, trademarks, logos, audio, video, and text (collectively, the “Content”), is the property of Red Dot Media and is protected by copyright and trademark laws of the United Kingdom, foreign jurisdictions, and international conventions.
3. Ownership of Materials
Except for Red Dot Media's ownership of Request, all design and original source files created belong to User, making User the sole owner of the copyright for all Projects.
4. Fonts
In the event that any Project incorporates fonts not owned by Red Dot Media, requiring a commercial license for legal reproduction, distribution, or public display, Red Dot Media will inform the User in writing. The User must purchase appropriate licenses for Third-Party Fonts and assumes responsibility for any consequences resulting from failure to do so.
5. User Representations
By using the Website, User represents and warrants that they have the legal capacity, agree to comply with these Terms of Use, are not a minor, will not access the Website through automated means, will not use the Website for illegal purposes, and that their use will not violate any applicable law or regulation.
6. Prohibited Activities
User shall not access or use the Website for any purpose other than that for which it is made available. The Website may not be used for any commercial endeavours except those directly related to the services provided by Red Dot Media.
7. Feedback
User acknowledges that any Feedback provided shall be the sole property of Red Dot Media, with no obligation to keep it confidential.
8. Oversight
Red Dot Media reserves the right to monitor the Website for violations and take appropriate legal action. It also reserves the right to restrict or deny access to the Website without notice.
9. Returns and Refunds
Payments made to Red Dot Media are non-refundable, except as expressly provided. Refunds, if granted, are at Red Dot Media's discretion. Customers are required to pay in advance for services, with specific terms outlined for each service plan.
10. Modifications to Terms of Use
Red Dot Media reserves the right to change, alter, or remove content on the Website at its sole discretion. Changes to the Terms of Use will be effective immediately upon posting.
11. Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the United Kingdom.
12. Limitations of Liability and Indemnification
Red Dot Media and its associates shall not be liable for any damages arising from User’s use of the Website or services. User agrees to defend and indemnify Red Dot Media against any claims arising from their use.
13. User Data
User is responsible for all data transmitted to or relating to any activity undertaken using the Website, and Red Dot Media has no liability for any loss or corruption of such data.
14. Electronic Delivery of Materials
User consents to receive electronic communications from Red Dot Media and agrees to the use of electronic signatures, contracts, and records.
15. Showcasing Work
Red Dot Media reserves the right to showcase created works such as filming, designing and editing on digital channels unless otherwise agreed upon in a Non-Disclosure Agreement (NDA) to protect sensitive information.
16. Termination
These Terms of Use remain in effect until terminated by the User or Red Dot Media, which may occur at any time without notice.
